The foundation operates from a place of integrity, care, and responsibility, ensuring that every exchange is not only compliant but also meaningful and safe for everyone involved.
The foundation bears the name: Independent Nina.care Au Pair and Family Foundation.
It is domiciled in the municipality of Haarlem, the Netherlands.
The foundation aims to:
– Promote the safety, guidance, and advocacy of au pairs and host families participating in the Nina.care exchange program;
– Provide an independent point of contact for au pairs and host families in case of concerns, escalations, or conflicts;
– Periodically monitor the quality of care, communication, compliance, and well-being through independent audits and reports;
– Advise Nina.care on improving client care and aftercare structures.
The foundation seeks to achieve its objectives through:
a. Conducting confidential conversations with stakeholders;
b. Organizing monthly quality meetings with the Nina.care team;
c. Reporting findings to the Nina.care board and, if necessary, to external parties;
d. Drafting recommendations to improve business operations;
e. Escalating independently to supervisory or other relevant authorities if the client’s interest so requires.
The assets of the foundation consist of:
a. Subsidies and donations;
b. Gifts, inheritances, and legacies;
c. Other acquisitions and revenues.
The board of the foundation shall consist of at least one natural person.
The first board member is:
Ms. Esmee Smiet, acting as chair and confidant.
The board is responsible for managing the foundation.
It is authorized to enter into commitments on behalf of the foundation within the scope of its objectives.
In the event of prolonged absence or resignation, a successor shall be appointed within two months.
The board shall organize at least one internal consultation session per month with the Nina.care quality team.
An anonymized annual report with findings, trends, and recommendations shall be prepared.
These reports shall be shared with the Nina.care board and, if necessary, with external parties such as the IND or Labor Inspectorate.
The foundation is represented by the board member. In the event of incapacity or vacancy, representation is assumed by a deputy appointed by the board.
Ms. Iris Nijs (with 4 years of experience at Nina.care) serves as the contact person within Nina.care in her role as Quality and Process Agent.
The financial year coincides with the calendar year.
No later than six months after the end of each financial year, the balance sheet and statement of income and expenditure shall be adopted.
The foundation provides internal annual accountability regarding its independence, activities, and client safety.
Amendments to the articles may only be made by a written resolution of the board, optionally after consultation with relevant stakeholders.
Upon dissolution, the remaining balance shall be allocated to an objective that closely aligns with the foundation’s original purpose, as determined by the board.
This foundation is established by notarial deed and registered in the Trade Register of the Chamber of Commerce. The deed of incorporation is signed by the founder.
